1. Nature of Services
J NINE provides digital marketing services including but not limited to Meta Ads, Google Ads, LinkedIn Ads, OpenAI Ads, Jio Hotstar Ads, search engine optimization (SEO), and website development. Services are provided as professional services implying expertise, effort, and execution — not as a guarantee of any specific outcome or results.
2. No Guarantee of Results
Digital advertising and marketing outcomes depend on factors outside J NINE's control, including platform algorithms, market conditions, competitor activity, audience behavior, and the quality of client inputs. J NINE does not and cannot guarantee specific rankings, leads, sales, revenue, or return on ad spend. Any expected results communicated during sales discussions are estimates only and are not contractual commitments.
3. Client Responsibilities
- Provide complete, accurate, and lawful information, assets, and access required for service delivery
- Review and approve deliverables, campaigns, and pending actions within reasonable timelines
- Comply with all applicable laws, platform policies, and advertising regulations for their products and claims
- Pay all dues in full and on time as per the contract; services are suspended for non-payment
- Provide payment credentials for ad platforms; J NINE manages campaigns but the client controls ad budgets
Delays on the client's side do not extend deadlines or reduce amounts payable.
4. Payments and Engagement Terms
- All amounts are in Indian Rupees (INR). Payment terms are as specified in individual contracts.
- Advertising engagements are subject to a minimum commitment of 3 months unless the contract states otherwise.
- 50% of the engagement value is payable in advance on start, with the remaining 50% settled in monthly installments across the following two months.
- The J NINE management fee is a fixed ₹20,000 per ad platform per month plus a flat 10% extra on combined monthly ad spend above ₹6,00,000; ad spend itself is paid by the client directly to the ad platforms.
- Website development and SEO retainers are paid according to the schedule stated in the respective contract.
5. No Refunds
All payments made to J NINE — including advance payments, installments, retainers, and one-time project fees — are non-refundable once payment is made. Fees compensate for strategy, planning, setup, execution, and ongoing management work performed, much of which occurs before or immediately after payment. By making any payment, the client acknowledges and accepts that no refunds will be issued under any circumstances, regardless of service outcome, utilization, or timing, except as expressly required by law.
Clients are advised to carefully review the scope of work and the Refund Policy before making any payment.
6. Cancellation
Either party may terminate an engagement with 30 days' written notice at the expiry of the minimum commitment period. Amounts paid for completed or in-progress work and for the current commitment period remain with J NINE and are non-refundable. J NINE may terminate immediately if the client breaches these terms, fails to pay, or engages in conduct that risks J NINE's compliance, reputation, or legal standing.
7. Intellectual Property
- All content, creatives, assets, strategies, and work product remain the property of J NINE until full payment of the relevant contract is received.
- Upon full payment, deliverables are licensed to the client for use in connection with their business, as defined in the contract scope.
- J NINE retains the right to display completed work in its portfolio, case studies, and marketing materials unless the client has agreed in writing to confidentiality for that work.
- Client-provided trademarks, logos, and materials remain the property of the client.
8. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the engagement and not to disclose it except as necessary to perform the engagement or as required by law. This obligation survives termination of the engagement.
9. Client Indemnification
The client agrees to indemnify and hold harmless J NINE, its employees, contractors, and agents against any claims, damages, liabilities, costs, and expenses arising from the client's products, services, content, advertisements, claims made to the public, breach of these terms, or violation of applicable law or third-party rights.
10. Limitation of Liability
To the maximum extent permitted by law, J NINE's total aggregate liability for any claim arising out of or in connection with an engagement is limited to the total fees actually paid by the client to J NINE for the specific engagement giving rise to the claim during the 3 months preceding the claim. In no event will J NINE be liable for indirect, incidental, punitive, or consequential damages, including loss of profits, revenue, data, goodwill, or ad-spend losses, even if advised of the possibility of such damages.
11. Ad Spend Disclaimer
Ad budgets are paid by the client directly to third-party advertising platforms. J NINE does not hold, control, or guarantee ad-spend funds, and is not responsible for the actions, policies, billing, or failures of any advertising platform. Platform ad-spend billing disputes are handled solely between the client and the platform.
12. Force Majeure
J NINE will not be liable for delay or failure to perform due to causes beyond reasonable control, including platform outages, natural events, government action, network failures, and other force majeure events.
13. Governing Law & Jurisdiction
These terms are governed by the laws of India. All disputes arising out of or in connection with these terms or any J NINE contract are subject to the exclusive jurisdiction of the courts at Anantapur, Andhra Pradesh, India. See our Contracts & Legal page for details.
14. Amendments
J NINE may amend these terms from time to time. Updated terms apply to engagements entered into after publication and are posted with an updated revision date.
